NANNY CONTRACT TEMPLATE – WEBSITE DISCLAIMERS, LIMITATION OF LIABILITY AND INDEMNITY

IMPORTANT: By downloading, purchasing, accessing or using the Nanny Contract Template (the “Template”), you confirm that you have read and agree to these disclaimers, limitations of liability and indemnity terms (these “Template Terms”). If you do not agree, do not use the Template. Both parties who ultimately sign the completed Template must ensure they understand its terms and have obtained independent legal advice.

These Template Terms set out the basis on which DESERT FROST LIMITED, a company incorporated in England and Wales with company number 13913035 and its registered office at 39 Seckford Street, Woodbridge, England, IP12 4LY trading as “Superyacht Nanny” (“Superyacht Nanny”, “we”, “us” or “our”), makes available a Nanny Contract Template (the “Template”).

The Template is drafted exclusively for use in England and Wales and may not be suitable for use in Scotland, Northern Ireland, or any other jurisdiction, each of which has distinct legal requirements. If you are using the Template for cross-border arrangements or in connection with work on vessels (including superyachts), additional and potentially conflicting local law requirements (including maritime law, flag state regulations, international employment and tax rules, and local childcare licensing requirements) will apply. You are responsible for obtaining independent legal and other professional advice specific to each relevant jurisdiction and for ensuring the Template is correctly and fully completed (including all mandatory fields), tailored and used for your situation. Incomplete or internally inconsistent terms will likely render the Template unenforceable and create unintended legal consequences for which you are solely responsible.

We do not promise that the Template is accurate, complete, up to date, suitable for your intended use, enforceable, or will achieve any particular result. We make no guarantees about enforceability, legal effect or outcomes (including that any particular clause will be upheld or that any dispute will be resolved in your favour). Outcomes depend on the facts, the parties, the drafting choices you make, the way the Template is implemented, and applicable law. Any references to or links to third-party resources (including government guidance and third-party websites) are provided for convenience only. We do not control, endorse or accept responsibility for third-party content, availability, or accuracy, and you use it at your own risk.

The Template is intended only where the nanny is genuinely self-employed under UK law. It is unlawful to use the Template where the relationship is (or may be treated as) employment or worker engagement. You acknowledge that employment status is determined by the actual working relationship, not contract labels, and that misclassification carries serious legal and financial consequences. You are solely responsible for: (a) assessing and complying with all applicable laws including employment status determination, right to work checks, tax and National Insurance obligations (including IR35/off-payroll working rules and PAYE where applicable), equality and non-discrimination obligations, health and safety requirements, and data protection obligations (UK GDPR); (b) implementing appropriate safeguarding measures before services commence, including enhanced DBS checks, reference verification, insurance cover (professional indemnity and public liability), first aid certification, and child protection policies compliant with Working Together to Safeguard Children guidance; and (c) obtaining independent legal and professional advice for cross-border arrangements, vessel work, or multi-jurisdictional matters where additional complex requirements (maritime law, flag state jurisdiction, immigration, conflicting employment laws) may apply.

The Template and any accompanying materials are for general information only, not legal advice. Obtain independent legal advice before using the Template. Your use does not create a solicitor-client relationship with Superyacht Nanny, and Superyacht Nanny does not owe you professional duties or a duty of care.

Nothing in these Template Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law. Subject to that, to the fullest extent permitted by law: (a) all implied conditions, warranties, representations and terms are excluded; (b) Superyacht Nanny will not be liable for any loss, damage, cost or expense arising from the Template or these Template Terms (including use, misuse, modification or reliance), whether in contract, tort (including negligence), breach of statutory duty or otherwise; and (c) Superyacht Nanny will not be liable for any indirect or consequential loss, loss of profit, revenue, business, goodwill, opportunity, or data.

You agree to indemnify, defend and hold harmless Superyacht Nanny and its directors, officers, employees and contractors, from all losses, liabilities, damages, costs and expenses (including legal fees) arising from: (a) your use, misuse, modification or reliance on the Template; (b) your breach of these Template Terms or any applicable law; or (c) your breach of third party rights in connection with the Template.

These Template Terms and any disputes arising from them shall be governed by the law of England and Wales. The courts of England and Wales will have non-exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Template Terms or their subject matter or formation (including non-contractual disputes or claims).
